(1) These General Terms and Conditions (hereinafter “Terms”) apply to all contractual relationships between AMZ+ Consulting GmbH, Salinenstraße 3, 49214 Bad Rothenfelde (hereinafter “Provider”), and the Customer regarding the use of the SaaS platform “MarketplAIce”, available at https://marketplaice.io/ and https://app.marketplaice.io/(hereinafter “Platform”).
(2) The Platform is directed exclusively at entrepreneurs (business customers) within the meaning of § 14 of the German Civil Code (BGB). By registering, the Customer confirms that it is acting as an entrepreneur. Consumers within the meaning of § 13 BGB are excluded from use.
(3)Deviating, conflicting or supplementary general terms and conditions of the Customer shall only become part of the contract if the Provider has expressly agreed to their validity in writing. This consent requirement applies in all cases, even if the Provider performs its services without reservation in the knowledge of the Customer’s general terms and conditions.
(1) Via the Platform, the Provider makes web-based software tools for the analysis, optimization and automation of marketplace activities available to the Customer as Software-as-a-Service (SaaS). The Platform supports the marketplaces Amazon, eBay, Otto and Kaufland as well as further international marketplaces via add-ons.
(2) Depending on the selected plan, the scope of functions includes, among other things:
(3) The Provider owes the provision of the Platform in its respective current version. There is no entitlement to the retention of a specific scope of functions, provided that the contractually agreed core functionality of the selected plan is not materially restricted.
(4) The Platform is provided via the internet. The Customer is itself responsible for providing a suitable internet connection and the necessary hardware and software (in particular an up-to-date web browser).
(1)The contract is concluded upon the Customer’s complete registration on the Platform and the conclusion of a paid subscription via the payment service provider Stripe. By completing the checkout process, the Customer submits a binding offer to conclude the contract, which the Provider accepts by activating access.
(2)By completing the checkout process, the Customer declares its consent to these Terms, the Privacy Policy and the Data Processing Agreement (German: Auftragsverarbeitungsvertrag, “AVV”). All documents can be viewed during the registration process and can be saved and printed by the Customer.
(3) The Customer is obliged to provide truthful and complete information during registration and to update it without undue delay in the event of changes.
(4) The Customer is responsible for keeping its access credentials confidential. It must inform the Provider without undue delay if it becomes aware that third parties have gained unauthorized access to its account.
(1) After registration, the Customer receives access to a free trial period of 14 calendar days(hereinafter “Trial”). During the Trial, all functions of the plan assigned to the Customer are available to the Customer.
(2) Activating the Trial does not require a payment method to be stored. No payment is collected during the Trial.
(3) The Customer may end the Trial free of charge at any time until the trial period expires. The Trial can be ended via the account settings or by email to info@marketplaice.io.
(4) If the Trial is not ended by the last day and the Customer decides in favor of a paid subscription, this subscription is activated at the start of the first billing period and the first payment is collected via Stripe.
(5) The Provider reserves the right to change the Trial conditions at any time with reasonable advance notice or to discontinue the Trial offer. Trials already in progress remain unaffected.
(6)One free trial period per plan is possible per Customer. There is no renewed Trial after the trial period has expired. In the “MarketplAIce MCP” plan, this applies per Amazon seller account: if an Amazon account is connected for which a trial period has already been used, the free trial period ends upon connection.
(7) “MarketplAIce MCP” plan: If the trial period ends without the Customer booking a paid subscription, access via the MCP connector ends when the trial period expires. 30 days after the trial period expires, the Provider disconnects the connections to Amazon, revokes the MCP access and deletes the data stored during the trial period (in particular data retrieved via Amazon, products, purchase prices and shipping costs), unless statutory retention obligations prevent this. The user account remains in place.
(1) The scope of services depends on the plan selected by the Customer. The following plans are available:

(3) The detailed description of the functions of the individual plans (available AI agents, API access, support levels, white label, etc.) can be viewed on the pricing page https://marketplaice.io/preise. The service description shown there at the time of the order is decisive for the content of the contract.
(4) The Customer can change its plan at any time via the account settings (upgrade or downgrade). Changes take effect from the next billing period, unless expressly agreed otherwise.
(5) The Provider is entitled to further develop the Platform. Changes that do not materially impair the core functionality are permitted. Material restrictions will be announced to the Customer in advance with reasonable notice.

(7) Set-off against counterclaims of the Customer is only permitted if these are undisputed or have been finally and conclusively established by a court.
(1) Monthly subscriptions have no minimum term and can be terminated at any time with a notice period of 7 days to the end of the respective billing month.
(2) Annual subscriptions have a minimum term of 12 months from conclusion of the contract and automatically renew for a further 12 months unless they are terminated in text form with a notice period of 30 days before the end of the respective contract year.

Excluded from this are times of scheduled maintenance work as well as downtimes attributable to circumstances outside the Provider’s sphere of influence (in particular force majeure, disruptions of the internet, disruptions at third-party providers such as Amazon, eBay, Otto, Kaufland, Stripe, Vercel, Supabase).
(2) Scheduled maintenance work is carried out outside normal business hours where possible and announced to the Customer at least 48 hours in advance by email or via the Platform.

Pro customers receive Priority Support with shortened response times in accordance with the plan description.
(1) The Customer undertakes to use the Platform exclusively within the agreed scope of use and in accordance with the applicable statutory provisions.
(2) In particular, the Customer is obliged:
(3) The Customer indemnifies the Provider against all third-party claims arising from unlawful use of the Platform by the Customer, including reasonable costs of legal defense.
(1) For the duration of the contractual relationship, the Customer receives a simple (non-exclusive), non-transferable and non-sublicensable right to use the Platform within the scope of the selected plan.
(2) All rights to the Platform, including the software, the AI models, algorithms, databases, the design and the documentation, remain with the Provider or its licensors.
(3)The data entered and uploaded by the Customer via the Platform (“Customer Data”) remains the property of the Customer. The Customer grants the Provider the simple right to process this data within the scope of providing the contractual services.
(4) AI-generated content:The rights to the content generated via the Platform at the Customer’s instigation (e.g. AI images, AI texts, listing suggestions, ad creatives) pass to the Customer — insofar as legally assignable and subject to the terms of use of the AI providers used. The Customer is solely responsible for checking the content for trademark rights, copyrights and competition law rights of third parties.
(5) The Provider is entitled to use anonymized and aggregated usage data to improve the Platform and for statistical purposes, provided that no conclusions can be drawn about the individual Customer.
(1) The Platform uses artificial intelligence (AI) for analyses, recommendations and optimizations. For this purpose, the Provider uses, among others, the following AI services:
The Provider reserves the right to change the AI models and providers used without prior notice, provided that the core functionality is not materially impaired as a result.
(2) Only anonymized market and product data is transmitted to AI providers (e.g. ASINs, SKUs, listings, prices, advertising performance). Personal data of the Customer’s end customers (buyer names, addresses, buyer messages) is not transmitted to AI providers. Details on data processing are set out in the Privacy Policy and the DPA (AVV).
(3) No guarantee of success: The AI-powered results are based on statistical models and algorithms and expressly do not constitute a guarantee of economic success, ROAS, ACoS, conversion rate or revenue growth. Past performance is not a reliable indicator of future results.
(4) Customer’s duty to review: The recommendations, texts, bids and optimization suggestions generated by the AI system serve as decision support. The Customer is itself responsible for the review, adjustment, approval and implementation of the suggestions and for all business decisions based on them. The Provider recommends regular review by the Customer, in particular in the case of automated bid and price adjustments.
(5) Disclaimer for AI content: The Provider assumes no liability for the accuracy, completeness, timeliness, or trademark or copyright compliance of the AI-generated content. In particular, the Provider is not liable for:
These disclaimers do not apply in the cases of § 15 (mandatory liability).
(6) The Customer acknowledges that AI models are regularly updated and that the results may therefore change over time. A change in the AI results does not constitute a defect of the Platform.
(7) Prohibition of unlawful AI use: The Customer undertakes not to use the AI functions to create unlawful, misleading, offensive, harmful to minors or infringing content. Violations entitle the Provider to extraordinary termination in accordance with § 8(5).
(1) The Provider processes the Customer’s personal data in accordance with the applicable Privacy Policy (https://app.marketplaice.io/datenschutz; English convenience translation: https://marketplaice.io/privacy) and in compliance with the GDPR and the German Federal Data Protection Act (BDSG).
(2) Insofar as the Customer processes personal data of third parties (in particular of its end customers) via the Platform and the Provider acts as a processor within the meaning of Art. 28 GDPR, the Data Processing Agreement (AVV) at https://app.marketplaice.io/avv applies. The DPA becomes part of the contract when the corresponding checkbox is ticked during registration.
(3)The Provider takes appropriate technical and organizational measures to protect the Customer’s data in accordance with Art. 32 GDPR. The specific measures are documented in the DPA (Art. 4).
(4) The Provider uses sub-processors to provide its services (in particular Vercel Inc., Supabase Inc., Amazon Web Services, Stripe, Resend, Anthropic, Google). A current list of the sub-processors can be viewed in the DPA.
(1) In order to use the Platform, the Customer authorizes MarketplAIce to access its marketplace accounts via official APIs (Amazon Selling Partner API / SP-API, Amazon Advertising API, eBay API, Otto API, Kaufland API) by means of OAuth 2.0.
(2) The Customer confirms that it is entitled to grant this authorization and that it accepts the terms of use of the respective marketplaces.

(4) The following data in particular is processed via the marketplace APIs: product listings, inventory, performance data, orders, returns, advertising data, ACoS, keywords, clicks and impressions.

(6) The Provider is not liable for restrictions of API access by the respective marketplaces, changes to API policies, throttling or blocking for which the Provider is not responsible.
(1) The Provider is liable without limitation for damages resulting from injury to life, body or health that are based on an intentional or negligent breach of duty by the Provider, its legal representatives or vicarious agents.
(2) The Provider is liable without limitation for damages based on intent or gross negligence of the Provider, its legal representatives or vicarious agents.
(3) In the event of slight negligence, the Provider is only liable for the breach of a material contractual obligation (cardinal obligation). In this case, liability is limited to the foreseeable damage typical for this type of contract. Material contractual obligations are those whose fulfillment makes the proper performance of the contract possible in the first place and on whose compliance the Customer may regularly rely.
(4) Maximum liability in the event of slight negligence: The amount of liability in the event of slight negligence is limited per damage event to the amount of the remuneration paid by the Customer in the 12 months preceding the damaging event (excluding add-ons and image overage).
(5) Liability under the German Product Liability Act (Produkthaftungsgesetz), for the assumption of a guarantee and under Art. 82 GDPR (data protection liability) remains unaffected by the above provisions.
(6)The above limitations of liability also apply in favor of the Provider’s legal representatives, employees and vicarious agents.
(7)The Provider is not liable for damages caused by the loss of the Customer’s data insofar as the damage could have been avoided by regular and complete data backups by the Customer.
(8) The disclaimers for AI-generated content set out in § 12 (AI) apply in addition.

(2) This obligation does not apply to information that:
(3) The confidentiality obligation continues to apply after the termination of the contract for a period of two years.
(4)The Provider may only name the Customer in its external presentation (e.g. reference list, logos on the website) with the Customer’s express written consent.
Neither party is liable for the non-performance or delayed performance of its contractual obligations insofar as the non-performance or delay is due to circumstances beyond the reasonable control of the party concerned (force majeure). This includes in particular natural disasters, pandemics, war, terrorism, strikes, official orders, failures of telecommunications networks or of the power supply as well as serious cyberattacks and outages of third-party providers (Amazon, Vercel, Supabase, Stripe, Anthropic, Google). The affected party must inform the other party without undue delay of the occurrence and the expected duration of the force majeure.
(1) The Provider reserves the right to amend these Terms with effect for the future, insofar as this is reasonable for the Customer taking into account the interests of the Provider. This is the case in particular in the event of changes in the legal situation, changes in supreme court case law, material changes in market conditions or technical further developments of the Platform.
(2) Changes will be communicated to the Customer by email no later than six weeks before the planned effective date. The notification contains the wording of the amended provisions as well as a reference to the right to object.
(3) If the Customer does not object to the amended Terms in text form within six weeksof receipt of the notice of change, the amended Terms are deemed accepted. The Provider will separately draw the Customer’s attention to the significance of the expiry of this period in the notice of change.
(4) If the Customer objects in due time, the contract continues under the previous conditions. In this case, the Provider has a special right of termination with a notice period of one month to the end of a month.

(2) The place of jurisdiction for all disputes arising from or in connection with this contract is, to the extent permitted by law, the registered office of the Provider (Bad Rothenfelde).
(3) Should individual provisions of these Terms be or become invalid in whole or in part, the validity of the remaining provisions shall not be affected thereby. The invalid provision shall be replaced by a valid provision that comes closest to the economic purpose of the invalid provision.
(4) There are no oral side agreements. Amendments and supplements to this contract require text form. This also applies to any waiver of this text form requirement.
(5)The Customer may only transfer rights and obligations under this contract to third parties with the Provider’s prior written consent.
(6) The European Commission provides a platform for online dispute resolution (ODR platform) at https://ec.europa.eu/consumers/odr/. As the Platform is directed exclusively at entrepreneurs, participation in dispute resolution proceedings before a consumer arbitration board is not intended, and the Provider is not obliged to participate in them.
